Blues Society of Tulsa Bylaws

Mission Statement: The Blues Society of Tulsa is a non-profit organization dedicated to the promotion of education, knowledge and appreciation of blues music to ensure preservation of the music and its history for the future of many generations to come. 

ARTICLE I: NAME OF ORGANIZATION 

Blues Society of Tulsa 

ARTICLE II: OBJECTIVES AND PURPOSE 

The objectives and purpose of this organizations shall be:

Item 1: 

Said organization is organized exclusively for charitable and educational purposes, including for such purposes, the making of distribution to organizations that qualify as exempt organizations under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code. 

No part of the net earnings of the organization shall inure to the benefit of, or be distributed to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on by (a) an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code and corresponding section of any future federal tax code. 

Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of the section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future tax code, or shall be distributed to the federal government, or to a state or local government, for the public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for the purpose or to such organization, as said court shall determine, which are organized exclusively for such purposes. 

Item 2: 

To improve and enrich the life of citizens in Tulsa and surrounding areas through the music. 

Item 3: 

To promote interest, education and appreciation for the music. 

ARTICLE III: MEMBERSHIP 

Membership is open to anyone with a genuine interest and desire to promote the efforts of this organization and who shall have paid annual dues, or have paid for a lifetime membership. Members shall be entitled to attend meetings and to vote in Elections and on issues presented to the Membership at any General Meeting. The Executive Committee may, at its discretion, designate certain persons as Honorary Members of the Organization. Honorary Members shall be entitled to the same privileges as Regular Members, except that they shall be exempt from the payment of regular dues.

ARTICLE IV: OFFICERS AND THEIR DUTIES 

Elected officers of this organization shall be presided by the President, Vice President, Secretary, Treasurer. The elected officers shall serve as an Executive Committee to carry out business of the organization outside regular meetings. 

Item 1: 

The President shall preside at all meetings of the organization and shall appoint committees as needed to carry out the business of the chapter. The President shall make appointments to fill vacated offices as needed. 

Item 2: 

The Vice President shall perform the duties of the President in the absence of the President and shall be chairperson of the special committees. 

Item 3: 

The Secretary shall keep records of the proceedings of all meetings and business of the organization as well as board meetings, and distribute copies of minutes to all members. The secretary shall respond to correspondence relating to the request for information or other business of the chapter. 

Item 4: 

The Treasurer shall keep a record of all receipts and pay all the approved bills of this organization. The Treasurer shall report the balance of money on hand at each meeting, including income and expenses. The Treasurer shall compile and complete an annual actual and projected budget report at the annual June meeting. The Treasurer shall complete all necessary forms and budget information required to appropriate State and Federal government agencies and make available such reports according to and in keeping with both State and Federal laws governing non-profit organizations. 

ARTICLES V: ELECTION OF OFFICERS 

The election of officers shall be held once a year at the February meeting and they shall take office at the following March meeting. 

ARTICLE VI: POLICIES 

Item 1: 

These bylaws may be amended at any regular meeting of Blues Society of Tulsa by two thirds majority of the board provided amendment has been read at the previous meeting. 

Item 2: 

The quorum established for this organization is three. 

Item 3: 

“Robert’s Rules of Order” shall be followed at all meetings. 

Item 4: 

Meetings shall be held as required.
